1. About these Terms
These Website Terms of Service (the "Terms") govern your access to and use of the website operated by Assetize Issuer PCC at https://issuer.assetize.xyz/, together with any subdomain, sub-page, application programming interface or other digital property that links to or expressly incorporates these Terms (collectively, the "Site"). The Site is published by Assetize Issuer PCC, a protected cell company incorporated under the Companies (Jersey) Law 1991, as amended (including the protected cell company provisions) with its registered office at 2nd Floor, The Le Gallais Building, 54 Bath Street, St Helier, Jersey JE1 1FW ("we", "us", "our" or the "Issuer"). By accessing or using the Site you agree to be bound by these Terms. If you do not agree, you must not access or use the Site.
These Terms are a binding agreement between you and the Issuer in respect of your use of the Site only. Any subscription for, or holding of, securities or tokens issued by the Issuer or any of its cells or portfolios is governed exclusively by the product-specific offering documents for that issuance (including the relevant prospectus, supplemental prospectus, terms of tokens, subscription agreement and risk factors) (the "Offering Documents"). In the event of any conflict between these Terms and the Offering Documents, the Offering Documents prevail.
2. No Offer, No Advice and No Solicitation
The Site is published for informational purposes only. It does not constitute, and nothing on it should be construed as, (a) an offer or invitation to subscribe for, buy or sell any security, token or other financial instrument, (b) an inducement or solicitation to engage in investment activity, or (c) investment, legal, tax or other professional advice. No content on the Site has been prepared with reference to your individual circumstances or objectives.
Any offer of securities or tokens by the Issuer is made solely on the basis of the relevant Offering Documents, made available privately to eligible investors who satisfy the applicable eligibility, jurisdictional and anti-money-laundering criteria. Marketing material on the Site (if any) is preliminary, indicative and qualified in its entirety by the Offering Documents. Past performance is not a reliable indicator of future results, and forward-looking statements are subject to material risks and uncertainties.
Assetize Issuer PCC is structured as a protected cell company under Jersey law. Each issuance is conducted through a separate protected cell whose assets and liabilities are segregated from those of every other cell and from the core. References on this Site to a particular product or token relate to that specific cell only; assets and obligations of one cell are not available to satisfy the liabilities of another.
3. Eligibility and Jurisdictional Restrictions
Access to the Site is restricted. The Site, and any offering referenced on it, is directed only at persons who satisfy each of the following criteria (together, an "Eligible User"):
• You are at least 18 years old (or the age of majority in your jurisdiction, if higher) and have full legal capacity to enter into binding contracts;
• You are accessing the Site from a jurisdiction in which doing so is lawful and does not require any registration, licence, authorisation or filing that has not been obtained or made;
• You are not a U.S. Person within the meaning of Regulation S under the U.S. Securities Act of 1933 and you are not located in the United States; nor are you accessing the Site for the account or benefit of a U.S. Person;
• You are not a person to whom the Site is addressed under any applicable sanctions regime, anti-money-laundering regime or other restriction (including any Restricted Jurisdiction listed below); and
• In the United Kingdom, you are a person falling within an exemption to the financial-promotion restriction in section 21 of the Financial Services and Markets Act 2000 (e.g. an investment professional under article 19 or a high-net-worth or sophisticated investor under articles 48 or 50A of the Financial Services and Markets Act 2000 (Financial Promotion) Order 2005); in the European Economic Area, you are a "qualified investor" within the meaning of Regulation (EU) 2017/1129 (the Prospectus Regulation); and in any other jurisdiction, you meet equivalent professional, accredited or qualified investor criteria.
"Restricted Jurisdiction" means the United States of America, its territories and possessions; any jurisdiction subject to comprehensive sanctions administered by the United Kingdom, the European Union, the United Nations Security Council, the United States Office of Foreign Assets Control, His Majesty's Treasury or any other competent authority (currently including but not limited to Cuba, Iran, North Korea, Syria, the Crimea, Donetsk and Luhansk regions of Ukraine); and any other jurisdiction that the Issuer notifies as a Restricted Jurisdiction from time to time.
You are responsible for determining whether your access to and use of the Site is lawful in your jurisdiction. The Issuer reserves the right to refuse, suspend or terminate your access to the Site at any time, without notice and without liability, where it considers (in its sole discretion) that such access may be unlawful or inconsistent with these Terms.
4. Investor Gate and Declarations
The Site requires you to make declarations at an entry gate before content is displayed. By proceeding past the gate you represent and warrant that each declaration is true, accurate and not misleading at the time it is made and on each subsequent visit to the Site. You agree to refresh those declarations on request and to notify us promptly if any declaration ceases to be true.
Cookies, browser fingerprinting or similar technologies may be used to record the fact that you have made the declarations. Use of such technologies is described in our Privacy Notice and Cookie Notice. The use of cookies does not, by itself, establish that any declaration is true; the underlying representations remain your responsibility.
5. Permitted Use of the Site
Subject to your continued compliance with these Terms, the Issuer grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the Site for your own informational purposes only. You must not:
• use the Site for any unlawful purpose or in any manner that breaches applicable law or regulation;
• reproduce, copy, frame, mirror, scrape, sell, license, lease, distribute or commercially exploit any part of the Site, except as expressly permitted in these Terms;
• attempt to interfere with, compromise the integrity or security of, or decipher any transmissions to or from the servers running the Site;
• use the Site to develop, train, fine-tune or evaluate any large-language model, machine-learning system or other artificial-intelligence product, except with our prior written consent;
• use any robot, spider, scraper or other automated means to access the Site or to collect content from it;
• introduce any virus, worm, trojan, ransomware, time bomb, logic bomb or other harmful code, or otherwise impair the operation of the Site; or
• forge any header information or otherwise manipulate identifiers in order to disguise the origin of any communication transmitted through the Site.
6. Intellectual Property
All intellectual-property rights in or to the Site, including all text, graphics, logos, icons, images, audio clips, video clips, data compilations, page layout, underlying code and software, are owned by the Issuer or its licensors. "Assetize", the Assetize logo, the Cavenwell name and logos and other marks displayed on the Site are trademarks of Cavenwell Group or its affiliates. No licence is granted to you in any such intellectual property except the limited licence to access the Site set out in clause 5.
7. Third-Party Content and Links
The Site may contain content provided by third parties, including links to third-party websites, services or documents. The Issuer does not control, endorse or assume responsibility for any third-party content. Your use of any third-party site or service is at your own risk and may be subject to that third party's terms and privacy practices. Where the Site references blockchain or distributed-ledger infrastructure (including wallets, custodians, validators and bridges), such infrastructure is operated independently of the Issuer and the Issuer makes no representation as to its security, availability or fitness for purpose.
8. Tokens and Distributed Ledger Technology
Where the Issuer issues tokens, those tokens are recorded on a public, permissioned or hybrid distributed ledger. You acknowledge that:
• transactions on a distributed ledger may be irreversible and recorded permanently on a public ledger;
• the loss of private keys, seed phrases or other access credentials may result in the permanent loss of access to your tokens;
• the value of any token may be highly volatile and may, in adverse circumstances, fall to zero;
• blockchain networks may be subject to congestion, forks, re-organisations, re-priced gas, validator failures, oracle failures, smart-contract bugs and protocol-level changes that affect the operation of tokens;
• redemption, transfer or settlement of tokens is conditional on the holder remaining an Eligible User and on the holder satisfying the Issuer's ongoing know-your-customer, source-of-funds and sanctions-screening requirements at all times; and
• a holder who is or becomes unable to comply with applicable anti-money-laundering, counter-terrorist-financing or counter-proliferation-financing requirements may be unable to redeem or transfer their tokens, in which case the Issuer will follow the procedures set out in the relevant Offering Documents and may, where required, restrict, freeze or compulsorily redeem the affected tokens.
Jersey Financial Services Commission ("JFSC")'s guidance expressly contemplates the foregoing and the Issuer reserves the right to operate the Site, and the relevant token, in line with that guidance.
9. Risk Warning
The products that may be referenced on this Site are high-risk investments and may not be suitable for every investor. The full risks attaching to any product are described in the Offering Documents for that product, which include detailed risk factors. You should read those risk factors before making any investment decision and seek independent legal, financial, tax and accounting advice. The Issuer makes no representation that any investment objective will be achieved, that any return will be paid, or that any token will be capable of redemption.
10. Disclaimers and Limitation of Liability
The Site is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, the Issuer, its directors, officers, employees, agents and affiliates (the "Issuer Parties") disclaim all representations, warranties and conditions, whether express, implied or statutory, in respect of the Site, including (without limitation) any warranty of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, completeness, currency, non-infringement, uninterrupted access or freedom from harmful components.
To the maximum extent permitted by applicable law, the Issuer Parties shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, including lost profits, lost revenue, lost data, lost opportunity, business interruption or loss of goodwill arising out of or in connection with your use of, or inability to use, the Site, whether based in contract, tort (including negligence), statute or otherwise, and whether or not the Issuer Parties have been advised of the possibility of such damages.
Nothing in these Terms shall exclude or limit any liability that cannot lawfully be excluded or limited (including any liability for fraud or fraudulent misrepresentation, death or personal injury caused by negligence, or under section 2(3) of the Misrepresentation Act 1967 (United Kingdom) where applicable).
11. Indemnity
You agree to indemnify, defend and hold harmless the Issuer Parties from and against any and all losses, liabilities, damages, claims, demands, actions, costs and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of, or activity on, the Site; (b) any breach by you of these Terms or any representation or warranty you make under them; (c) your violation of any applicable law or third-party right; or (d) any false declaration made by you at the investor gate.
12. Modifications, Suspension and Termination
The Issuer may, at any time and without prior notice, modify, suspend or discontinue any part of the Site, change the access requirements (including the entry-gate declarations), require re-verification, or terminate your access. The Issuer may amend these Terms from time to time by posting an updated version. The Effective Date below indicates when these Terms were last updated. Continued use of the Site after the Effective Date constitutes acceptance of the updated Terms.
13. Privacy and Cookies
Personal data submitted to or collected via the Site is processed in accordance with the Privacy Notice published by Assetize Issuer PCC. Cookies and similar technologies are described in our Cookie Notice. By using the Site you confirm that you have read the Privacy Notice and Cookie Notice.
14. Notices
Any notice or communication required under these Terms must be in writing and sent (a) to the Issuer at the registered office set out below or by email to legal@assetize.xyz, marked for the attention of "Assetize Issuer PCC, Compliance Officer", and (b) to you at the email address you provided to us. Notices are deemed received on delivery if delivered in person or by recorded courier, and on the next business day in the place of receipt if sent by email (provided no bounce-back is received).
15. Governing Law and Forum
These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation, shall be governed by and construed in accordance with the laws of Jersey. The Royal Court of Jersey shall have exclusive jurisdiction to settle any such dispute or claim, save that the Issuer reserves the right to bring proceedings against you in any other jurisdiction in which you reside or have assets.
16. Miscellaneous
These Terms (together with the documents referred to in them) constitute the entire agreement between you and the Issuer in relation to your use of the Site and supersede any prior arrangement. If any provision of these Terms is held to be invalid, illegal or unenforceable, the remaining provisions shall remain in full force and effect. No failure or delay by the Issuer to exercise any right or remedy under these Terms shall operate as a waiver. You may not assign, transfer or sub-licence any of your rights or obligations under these Terms without our prior written consent. We may assign, transfer or sub-licence our rights and obligations under these Terms without your consent. A person who is not a party to these Terms shall have no right to enforce any provision of them.
